2016 Transitions $10 Consumer Rebate

Terms and Conditions

Overview: This mail-in or online rebate offer (the “Rebate Offer”) is sponsored by Essilor of America, Inc. (the “Sponsor”), and is available to eyecare patients who are legal residents of one of the 50 United States or District of Columbia (“Eligible Patients”) who make a Qualifying Purchase (as defined below) at one of the following authorized participating eyecare practices located within the 50 United States or D.C. (each a “Participating Retailer”): America’s Best Contacts & Eyeglasses, Eyeglass World, Vista Optical in select Fred Meyer stores, Vista Optical in select Exchange locations, Optical Center in select Exchange locations, Visionworks, Walmart Vision Center, and Sam’s Optical. To find a Participating Retailer, visit www.Transitions.com/rebate. Eligible Patients who make a Qualifying Purchase and submit a properly completed Rebate Form and Receipt (each as defined below) (a “Rebate Claim”) are eligible to receive a $10 Transitions® Visa® Reward Card rebate (the “Rebate”). Rebates will be fulfilled by mail if all of the required Terms and Conditions of this Rebate Offer are met.

Qualifying Lenses Purchase Requirements: To qualify for a Rebate, Eligible Patients must purchase a pair of prescription Transitions® light adaptive lenses from a Participating Retailer (each pair is a “Qualifying Purchase”).

Rebate Limitations: Limit one $10 Rebate per Qualifying Purchase, up to a maximum of $60 in Rebates for up to six Qualifying Purchases. Each Qualifying Purchase must occur between October 1, 2016 and December 31, 2016, exclusively through a Participating Retailer. Patient must have a current, valid prescription for vision correction at time order is placed for the Qualifying Purchase. This Rebate Offer may not be combined with any other consumer rebate offer. Rebate Offer is limited to Eligible Patient end-users only. Dealers, distributors and other ophthalmic lens resellers are not eligible for this Rebate Offer. Rebate value for a Qualifying Purchase will not exceed purchase price for that Qualifying Purchase under any circumstances (if purchase price of the Qualifying Purchase is less than the Rebate value, a lesser Rebate value will be issued equaling the purchase price).

Proof of Purchase: All Rebate Claims must be accompanied by a copy of the receipt for the Qualifying Purchase. Receipt must include the Participating Retailer’s name and address, receipt number, order date for the Qualifying Purchase(s), and products purchased (required Qualifying Purchase(s) must be detailed on the receipt to be eligible for a rebate) (the “Receipt”). Sponsor has the right to substantiate all Receipts and Rebate Claims with internal sales data and/or eyecare practice invoices. Each Receipt may be submitted only one time. If there are multiple Qualifying Purchases on a single Receipt, all Rebate Claims for Qualifying Purchases contained on that Receipt must be made at the same time and on the same Rebate Form.

Rebate Claim Instructions: All Rebate Claims must either be postmarked (by mail) or transmitted (online) within forty-five (45) days of the order date for the Qualifying Purchase stated on the Receipt.

  • By mail: To claim a Rebate by mail, the Eligible Patient must (a) complete an official rebate form (“Rebate Form”), which can be obtained from the Participating Retailer where the Qualifying Purchase was made or by visiting www.TransitionsLensesRebate.com, and (b) mail the completed Rebate Form along with the Receipt(s) to the address provided on the Rebate Form.
  • Online: To claim a Rebate online, the Eligible Patient must visit www.TransitionsLensesRebate.com and click the Transitions® Lenses consumer rebate link to access an online Rebate Form. The Eligible Patient must complete the online Rebate Form, upload a copy of the Receipt, and transmit as indicated online.

 

Rebate Claim Limitations: In no event will any Rebate Claims be honored if postmarked or transmitted after February 14, 2017. Sponsor is not responsible for late, lost, postage-due, misdirected, incomplete, illegible or damaged Rebate Claims, or for any problems or technical malfunctions, failed or unavailable hardware, network, software or telephone, cable or satellite transmissions. Illegible, incomplete or non-conforming Rebate Claims will not be honored or returned, except as required by law. Maximum Rebate for each Qualifying Purchase is $10. Limit six (6) Rebate Claims (each on a different Qualifying Purchase) per person, mailing address or email address, as determined by Sponsor (whether on the same or different Rebate Forms or Receipts). Only street and rural addresses accepted, no P.O. Boxes (except for North Dakota and where required by law). Rebate Claims with invalid or undeliverable mailing addresses will be denied. Eligible Patient’s right to make a Rebate Claim cannot be transferred, and this offer is void where taxed, restricted or prohibited by law. Eligible Patients should keep copies of all materials submitted. Materials submitted to Sponsor become Sponsor’s property and will not be returned. Warning: Reproduction, alteration or attempted alteration, transfer, sale or purchase of Rebate Forms or Receipts is prohibited and constitutes fraud. Fraudulent submission of multiple Rebate Claims on the same Qualifying Purchase and/or providing false information disqualifies any such Rebate Claim and could result in federal prosecution under mail fraud statutes (Title 18, USC Sections 1341 & 1342). Rebates for valid submissions will generally be processed and a Visa® Reward Card mailed within eight (8) weeks of receipt/processing. Price Transparency: In the event that participating Eligible Patients seek to have any of the lenses acquired under this Rebate Offer reimbursed in whole or in part by a federal, state, commercial or other health care or vision care program, plan or insurance, they may be required―pursuant to applicable federal or state laws or regulations, including, but not limited to, the federal health care program anti-kickback statute, 42 U.S.C. §1320a-7b(b), or pursuant to their contractual arrangements with third party payers―to fully and accurately report and disclose the net purchase price for all products they purchase, directly or indirectly, from Sponsor under this Rebate Offer or any other incentive program or promotion sponsored by Sponsor. For purposes of this Rebate Offer, the term "net purchase price" means the net discounted price that the Eligible Patient paid for each lenses purchase at issue, taking into account all discounts, rebates and free or discounted items or services, including Base Rebates and Bonus Rebates under this Rebate Offer.

Form of Rebate: Visa Reward Card is given to you as a promotional rebate and no money has been paid by you for the card. Visa Reward Card is issued by MetaBank®, Member FDIC, pursuant to a license from Visa U.S.A. Inc. No cash access or recurring payments. Terms and Conditions for Becoming an Authorized Participating Retailer

1. Power of Vision Rebate Program Overview:The 2016 Essilor Power of Vision Rebate Program (the “POV Rebate Program”) is sponsored by Essilor of America, Inc., 13555 North Stemmons Freeway, Dallas, TX 75234 (“Essilor” or “Sponsor”). The POV Rebate Program consists of a consumer mail-in VISA® Reward Card rebate offer (the “Base Rebate”) valid only in connection with the purchase of a pair of lenses (the “Qualifying Lens Purchase”) with Crizal®, Essilor Transitions®, Varilux® and/or Eyezen (“Eligible Products”) ordered by an end-user between April 1, 2016 and September 30, 2016 (the “Rebate Purchase Period”) exclusively through an Authorized Participating Retailer (as defined in Rule 2, below). By combining three Eligible Products from one of the following two groupings (each a “Group”) of products (Group 1: Crizal®, Essilor® Transitions® and/or Varilux® OR Group 2: EyezenTM, Essilor® Transitions® and/or Crizal®) into the purchase of one pair of prescription lenses, the consumer qualifies for a $30 Base Rebate. By combining two Eligible Products from one Group into the purchase of one pair of prescription lenses, the consumer qualifies for a $20 Base Rebate. By purchasing one pair of prescription lenses with one Eligible Product, the consumer qualifies for a $10 Base Rebate. In addition, if the consumer also purchases a pair of Xperio UV polarized or Varilux tinted sun lenses at the same time (a separate pair of lenses from the Qualifying Lens Purchase, which can be for the same or a different Rx), the consumer qualifies for a Bonus Rebate that will is calculated by multiplying the amount of the Base Rebate by two (2). Example: Consumer makes a Qualifying Lens Purchase with Crizal and Varilux = $20 Base Rebate. Consumer purchases additional Xperio UV lenses at same time as a Qualifying Lens Purchase resulting in a $40 Bonus Rebate calculated by multiplying the $20 Base Rebate x 2. The Total Rebate = $60 ($20 Base Rebate + $40 Bonus Rebate). The POV Rebate Program may not be combined with any other consumer rebate offer. POV REBATE PROGRAM IS NOT VALID IF THE CONSUMER’S PURCHASE IS ELIGIBLE FOR REIMBURSEMENT OR PAYMENT IN WHOLE OR IN PART BY A FEDERAL HEALTHCARE PROGRAM OR FEDERALLY-FUNDED STATE HEALTHCARE PROGRAM, INCLUDING WITHOUT LIMITATION MEDICARE, MEDICAID, OR CHAMPUS.

2. Authorized Participating Retailer Eligibility and Registration: In order for an eyecare practice to be eligible to become an Authorized Participating Retailer in the POV Rebate Program, it must be located in one of the fifty (50) United States or District of Columbia, and in good standing with Essilor (“Eligible Practices”). In order for an Eligible Practice to become an “Authorized Participating Retailer” for the POV Rebate Program, one Authorized Practice Representative (which is either a “Practice Principal” - defined as an owner, officer, director - or a lab manager or account manager with approval from a Practice Principal and authority to bind the practice) of the Eligible Practice must visit www.powerofvision.com (the “Program Website”) between February 1, 2016 and March 31, 2016 (the “Registration Period”) and complete an Authorized Participating Retailer Registration Form and accept and agree to abide by these Terms and Conditions. Alternatively, an Eligible Practice may receive a phone call from an Essilor representative who explains the POV Rebate Program design, and if such Eligible Practice then verbally agrees to participate and subsequently responds to an email containing the complete Terms and Conditions with a return email that states “[PRACTICE NAME] confirms participation in 2016 POV” then such Eligible Practice will be registered as an Authorized Participating Retailer. For practices that are centrally managed or owned, but have more than one office location, each location shall be treated separately and each location must register separately.
Once registration is complete and approved by Sponsor, the Eligible Practice shall be designated an Authorized Participating Retailer for this 2016 POV Rebate Program.

3. Responsibilities of Authorized Participating Retailers: By registering to become an Authorized Participating Retailer, such Authorized Participating Retailers agree to the following:
a. Distribute a Mail-in Rebate Form (provided by Sponsor to that particular Authorized Participating Retailer location) to each consumer purchasing an “Eligible Job”* during the Rebate Purchase Period.
*A “Job” is defined as the sale of a pair of lenses from at least one of the Eligible Products listed in these Terms and Conditions to a consumer under one prescription. The date of the Job is the date when the order is placed, which is the date that must be printed on the consumer’s receipt. In order for a Job to be an “Eligible Job,” payment for the Job cannot be made in whole or in part by a federal healthcare program or federally-funded state healthcare program, including without limitation Medicare, Medicaid, or Champus.
b. Notify Essilor when the supply of Mail-in Rebate Forms is down to one tear pad so that Essilor may send more to distribute to consumers.
c. Communicate the POV Rebate Program to consumers who are eligible for the Mail-in Rebate.

4. Inclusion in Essilor Online Practice Locator Services: Once an Eligible Practice has become an Authorized Participating Retailer, such Authorized Participating Retailer shall be included in Essilor’s online practice locator websites located on the Program Website and at crizal.com, Varilux.com, xperiouv.com, essilorrebates.com and transitions.com, so that consumers/patients can find eyecare practices actively participating in the advertised 2016 POV Rebate Program (the “Rebate Practice Locator Services”) provided that (i) Essilor does not receive complaints from consumers about such Authorized Participating Retailer relative to the POV Rebate Program and (ii) such Authorized Participating Retailer maintains a minimum sales target for each Eligible Product during the Rebate Purchase Period. Minimum brand sales targets will be communicated by an Essilor Sales Representative. The Rebate Practice Locator Services shall run for the duration of the Rebate Purchase Period, and thereafter may be taken down at Sponsor’s determination.

5. General Terms: The POV Rebate Program is subject to all applicable federal, state and local laws. By registering to participate, practices agree to be bound by these Terms and Conditions and the decisions of the Sponsor, which are final and binding, and to waive any right to claim ambiguity in the Rebate Program or these Terms and Conditions. If for any reason the Rebate Program is not able to be conducted as planned or the Rebate Program is not achieving desired goals to support the cost or effort of implementing the Rebate Program, then Sponsor reserves the right at its sole discretion to cancel, terminate, modify or suspend the Rebate Program by giving notice on the Program Website. CAUTION: ANY ATTEMPT BY A PARTICIPANT TO UNDERMINE THE LEGITIMATE OPERATION OF THE REBATE PROGRAM MAY BE IN VIOLATION OF CRIMINAL AND CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, SPONSOR RESERVES THE RIGHT TO SEEK REMEDIES AND DAMAGES (INCLUDING ATTORNEY’S FEES) FROM ANY SUCH PARTICIPANT TO THE FULLEST EXTENT OF THE LAW, INCLUDING CRIMINAL PROSECUTION.
Federal anti-kickback law provides for criminal and or/civil liability for inducements related to any product for which payment may be made by a federal healthcare program or federally-funded state healthcare program, including Medicaid and Medicare (collectively, “Federally Funded Programs”). Some states have similar anti-kickback laws (“State Laws”). It is Sponsor’s policy to comply with all applicable laws; however, Sponsor has no way of knowing whether any specific transaction will be paid by a Federally Funded Program or otherwise covered by State Laws. Accordingly, it is each Authorized Participating Retailer’s sole responsibility to determine if a transaction is eligible for participation in this Rebate Program, and the Authorized Participating Retailer should not give a Mail-In Rebate Form to consumers who do not have an Eligible Job.

6. Release: By registering to participate, practices agree to comply with all Terms and Conditions, as stated, and to release Sponsor, its affiliate and subsidiary companies, and each of their officers, directors, employees, agents and representatives (collectively the “Released Parties”) from any and all loss, cost, damage, and/or liability as a result of their participation in this POV Rebate Program.

7. Limitation of Liability/Arbitration/Jurisdiction/Choice of Law: Except where prohibited by law, as a further condition of participating in the POV Rebate Program, each participating Authorized Participating Retailer agrees that (a) any and all disputes and causes of action arising out of or connected with the POV Rebate Program shall be resolved individually, without resort to any form of class action, and exclusively, by final and binding arbitrations under the rules of the American Arbitration Association (“AAA”); (b) the Federal Arbitration Act shall govern the interpretation, enforcement and all proceeding at such arbitration; and (c) judgment upon such arbitration award may be entered in any court having jurisdiction. Under no circumstance will participants be permitted to obtain awards for, and each practice hereby waives all rights to claim, punitive, incidental or consequential damages, or any other damages, including attorney’s fees, and participant further waives all rights to have damages multiplied or increased. Each participant agrees that this agreement is governed by the laws of the State of Texas (without regard to any conflicts of law provisions) and by participating, entrant hereby consents to the exclusive personal jurisdiction of the State of Texas.

8. Privacy: Personal information (if any) collected online in connection with this Program (if any) shall be subject to the privacy policy posted on the Program Website.
